Terms of Use
Please read all the terms and conditions of this agreement with IUTIP Inc. (“IUTIP”) carefully. These terms apply to image enhancement services provided by IUTIP on iutip.ai and any apps provided by IUTIP that provide similar services (collectively the “Site”). By clicking “I agree”, or by using the Site, you agree to be bound by the terms and conditions of this agreement, even if you have not read them. It is important to read this entire agreement. In particular, it contains provisions that may limit your rights, such as the section entitled Limitations.
Intellectual Property
Copyright © 2026 IUTIP Inc. All rights reserved. The contents of the Site are owned by and copyrighted by IUTIP, its suppliers, and third parties, and may contain trademarks of IUTIP or others. You may print, copy or save portions of this site for your own personal use only - provided that all copyright and trademark provisions contained on the Site remain intact.

Unauthorized use of any portion of the Site beyond that contained in the previous paragraph may violate copyright, trademark and other laws.
User Responsibilities
You are responsible for all activity you conduct on the Site. You will not use the Site for purposes proscribed by IUTIP from time to time, including without limitation: illegal or inappropriate purposes; sending spam; perpetration of security breaches; hacking; privacy breaches; fraudulent activity; distribution of viruses or other harmful code; transmission, distribution or storage of any material protected by copyright, trademark, trade secret or other intellectual property right without proper authorization or rights, or material that is infringing, obscene, defamatory, fraudulent, untruthful, disrespectful, discriminatory, or abusive; any unauthorized access, alteration, theft, corruption or destruction of files, data, transmission facilities or equipment; or to interfere with any other person’s use and enjoyment of the Site.

Users will not: (a) reproduce, sell, rent, assign, lease, sublicense, distribute, pledge, serve third parties, market or commercially exploit, in any way, except as provided in this agreement the services or any component thereof; (b) use the services to process data for other parties or for any purpose or function whatsoever other than for its own personal use; (c) use the services except as authorized herein; (d) remove, modify or obscure any copyright, trademark or other proprietary rights notices that appear during use of any services; or (e) reverse engineer or create derivative works from the service.

IUTIP does not routinely monitor all material placed on the Site, but may in its discretion delete or modify any material offending this agreement that comes to its attention. IUTIP is not responsible for and does not endorse anything users post on the Site.

IUTIP acquires no ownership interest in anything you post on the Site. Users may delete material it saves on the Site at any time. While IUTIP makes reasonable efforts to retain user material, the Site is not meant to be the sole depository of user material, and users are encouraged to keep their own copies of anything they save or use on the Site.
Infringing content
If you believe that anything posted on the Site offends your copyright or other intellectual property rights, is defamatory, or otherwise infringes your rights, you may email IUTIP at the email address at the bottom hereof. We will take actions we believe are appropriate in the circumstances.
Logon ID’s and Passwords
Your access to the features of the Site requires a logon ID and password. It is your responsibility to protect that information, including without limitation, to use effective passwords that are not easily guessed or discoverable, and keep logon ID’s and passwords confidential. You may not use a logon ID that suggests you are someone you are not. You are responsible for any activity that occurs under your logon ID. You will advise IUTIP immediately if you discover any compromise of your passwords or suspect unauthorized use of the Site using your identity.

You must be 16 years and older or have permission from a legal guardian to obtain a logon ID.

Users may delete their accounts with IUTIP at any time. IUTIP will retain deleted account material for a period of 30 days to allow the user to recover their account in case they change their mind or deleted it inadvertently. After 30 days IUTIP will permanently delete such material.
Fees
Users must pay token based fees to use the Site. IUTIP may provide free trial use. IUTIP does not provide refunds to users for paid but unused tokens. IUTIP does not provide refunds for tokens spent on the services if the user is not satisfied with the result.
AI Based Tools
The photo enhancement tool provided by IUTIP uses a third party AI tool. IUTIP will only use AI tools that do not retain user images for training or other purposes.
Limitations
While IUTIP uses reasonable efforts to maintain the Site in an up-to-date fashion, it does not warrant the completeness, timeliness or accuracy of any information contained on the Site, and may make changes thereto at any time in its sole discretion without notice.

IUTIP will use commercially reasonable efforts to keep the Site operational on a continuous basis, subject to reasonable maintenance requirements and matters beyond its reasonable control, but does not offer specific uptime guarantees.

All information contained herein is provided to users “as is,” “with all faults,” “as available” and at your sole risk.

All promises made by IUTIP are contained in this agreement. No promises implied by law (whether described as warranties, conditions, representations, or otherwise, and whether relating to merchantability, fitness, non-infringement, or otherwise) apply.

You cannot collect any damages of any nature (whether direct, indirect, consequential, punitive, or otherwise) from IUTIP for any reason (whether under legal theories of contract, tort, negligence, strict liability, operation of law, or otherwise).

IUTIP relies on these limitations when entering this agreement and setting its fees. They are a fundamental and essential part of our arrangement, and apply even if this agreement has failed in its fundamental or essential purpose or been fundamentally breached.
Governing Law
The Site are governed by the laws of the Province of Ontario, Canada excluding any conflicts of law provisions and excluding the United Nations Convention on Contracts for the International Sale of Goods. Any legal action against IUTIP shall take place in the courts of the Province of Ontario. The parties hereby submit to the non-exclusive jurisdiction of the courts of Province of Ontario.
Links
Any third-party sites that are linked to the Site are not under IUTIP’s control. IUTIP is not responsible for anything on the linked sites, including without limitation any content, links to other sites, any changes to those sites, or any policies those sites may have. IUTIP provides links as a convenience only and such links do not imply any endorsement by IUTIP of those sites.
Privacy
To the extent that IUTIP collects any personal information from its users, it uses such information only for the operation of the Site. Such information is not provided to any third parties without permission, and will not be divulged unless required by competent authorities or to the extent required or allowed under applicable privacy legislation. More detail is in our privacy policy.
Sale Details
IUTIP tries to provide accurate information on the Site, but errors may occur. IUTIP reserves the right to change the services available through the Site and their prices without any notice or liability. IUTIP may at any time, after giving prior notice, start to charge users for the use of all or part of the Site that were initially free to use. IUTIP cannot guarantee services advertised on the Site will be available when ordered or thereafter. IUTIP reserves the right to limit quantities sold. Nothing on the Site is an offer to sell. Initiating your use of the tools on the Site is your offer to purchase the services.
If you do not abide by the terms of this agreement, as non-exclusive remedies, IUTIP may immediately deactivate or delete your user account, delete any or all information we have about you, and bar your further access to the Site.
Remedy
Prior Agreement
This agreement contains the complete and exclusive statement of the agreement between the parties and supersedes all prior and contemporaneous agreements, purchase orders, understandings, proposals, negotiations, representations, or warranties of any kind whether written or oral. No oral or written representation that is not expressly contained in this agreement is binding on either party.
Changing these terms
IUTIP may change these terms by posting notice on its Site. These terms were last revised on April 30, 2026.
Securities
Nothing on the Site is intended to be an offering for sale of IUTIP securities to the public.
